If you are an experienced Company Secretary that is legally qualified or an experienced lawyer that has an interest in the Company Secretary space and are passionate about the not for profit industry and are looking for a part time opportunity then this is a role you will need to consider.

In this role you will be involved in:

• Working with the Chairman of the Board and Chairs of Board Committees to develop agenda for Board and Committee meetings;

• Liaising with the executive leadership team to collate papers for Board and Committee meetings; coordinate the timely completion and dispatch of Board and Committee papers.
 
• Attending Board and Committee meetings, and ensure the business of Board and Committee meetings is accurately captured in the minutes

• Advising the Board and its Committees on governance matters and practice;

• Assisting with the development and implementation of a compliance framework;

• Assisting with the development, implementation, communication, and maintenance of compliance policies, processes and procedures;

• Assisting with ensuring the company complies with its statutory and contractual obligations by providing advice to Directors and senior executives on discharging their duties under the Corporations Act 2012, the Australian Charities and Not for Profit Commission Act 2012 and other applicable regulations and policies;

There will also be some legal work involved around reviewing contracts and providing advice around Employment Relations. To be considered for this role you will be a legally qualified Company Secretary or experienced lawyer. You will have a strong Corporate Governance mindset have excellent attention to detail have the ability to build strong relationships and have a genuine interest in the NFP space.
