The Opportunity:
An outstanding opportunity has arisen to join a high-performing corporate governance function supporting a sophisticated portfolio of real estate entities, trusts and joint ventures. Working closely with senior leadership, including the Corporate Secretary and executive stakeholders, this role plays a key part in ensuring strong governance frameworks and regulatory compliance across a complex and active corporate structure.
The Role:
This is a senior-level Assistant Company Secretary position operating in a dynamic and commercially driven environment. The role provides governance support across a broad portfolio of companies, trusts and joint venture structures and works closely with legal, tax, finance and senior management teams.
Key responsibilities will include:
- Managing corporate governance requirements across a large portfolio of entities
- Supporting complex corporate actions including incorporations, restructures, capitalisations and distributions
- Preparing and coordinating board and committee meetings, including agendas, papers and minutes
- Drafting circular resolutions and implementing governance actions across corporate structures
- Ensuring ongoing compliance with regulatory obligations and corporate law requirements
- Maintaining corporate registers and entity management systems
- Supporting transactions and internal projects requiring corporate governance oversight
- Advising internal stakeholders on governance processes and improving internal approval frameworks
You are an experienced company secretarial professional with strong technical governance capability gained within a complex corporate environment.
Ideally you will bring:
- 5+ years’ experience in company secretarial or corporate governance roles
- Strong knowledge of the Corporations Act and corporate regulatory frameworks
- Experience supporting board processes and managing corporate actions across multiple entities
- Exposure to complex corporate structures including companies, trusts and partnerships
- Excellent drafting skills and strong attention to detail
- The ability to operate autonomously while working closely with senior stakeholders
- Prepared to work on site
