An exceptional opportunity has arisen for an Assistant Company Secretary to join a highly successful Melbourne based entity who are entering the Sydney market. You will have the opportunity to work along side a highly experienced Company Secretary in addition to working with a diverse range of clients. This role offers a unique chance to work across various client types, including ASX-listed, private, and not-for-profit organizations, in a flexible and dynamic work environment.
About the Role:
The Assistant Company Secretary is responsible for providing a range of services to clients, including but not limited to the following:
- Assist with Company Secretarial duties
- ASIC reporting and compliance
- ASX reporting and compliance
- ACNC reporting and compliance
- Attendance at client company board and general meetings
- Preparation of agendas, board papers, meeting minutes and circular resolutions
- Preparation of notices of meeting for general meetings
- Planning and logistics support for general meetings
- Assistance with the management of various boards, committees, and directors
- Assistance with insurances
- Assistance with share plans and share issues
- Assistance with options issues and management
- Assistance with registration of new entities
- Corporate governance and policies
- Liaison with share registries on all company secretarial matters
- Draft various company agreements
Qualifications:
- A law / business / finance degree, or degree in a relevant field.
- Governance qualification such as Certificate in Governance Practice or Certificate in Company Secretary Essentials from the Governance Institute of Australia
- Graduate Diploma of Applied Corporate Governance and Risk Management from the Governance Institute of Australia, or progress towards the qualification.
- Membership of the Governance Institute of Australia.
- Two years of professional experience in company secretary assistance or exposure to the roles and duties of a company secretary
- Knowledge of the Corporations Act 2001 (Cth)
- Experience with ASIC requirements
- Knowledge of the ASX Listing Rules
- Outstanding attention to detail and commitment to accuracy.
- Effective board meeting minute taking skills
- Excellent written and verbal communication skills, including board paper writing
- Proficient knowledge of key IT systems such as Adobe and Microsoft Office
- Excellent prioritisation and organisation skills, and proven ability to deliver on deadlines
- The ability to work both independently and as part of a small/medium team
- Experience in a company secretarial role within an ASX listed company.
- Experience with company secretary web applications such as Cake Equity, Registry Direct, BoardPro and Diligent.
- Experience providing professional customer service to a client base.
