Our client is seeking an experienced Legal & Governance Manager to establish and lead the in-house legal function for a well-known national organisation operating in the tourism and holiday sector.
Reporting to the General Manager – Finance & Administration and working closely with the CEO, Senior Leadership Team and Board, this role is ideal for a lawyer who enjoys operating autonomously in a trusted in-house environment.
The position is offered on a permanent part-time basis at $200k pro rata (3 or 4 days per week) and is based in Melbourne's inner east.
About the role
This role combines legal advisory, franchise compliance, commercial contracting and corporate governance responsibilities. Approximately 75% of the role focuses on legal and regulatory matters, with the remaining 25% supporting governance and Company Secretary activities.
Key responsibilities include:
- Provide in-house legal advice to the CEO, Senior Leadership Team and Board on legal, regulatory and commercial matters.
- Draft, review and negotiate a broad range of commercial contracts including supplier agreements, partnerships, sponsorship arrangements, technology licences and marketing agreements.
- Manage compliance with the Franchising Code of Conduct, including franchise agreements, disclosure documentation and regulatory obligations.
- Maintain and manage the organisation’s contract register and oversee the lifecycle of key commercial agreements.
- Support dispute management and member grievance processes, focusing on practical and proportionate outcomes.
- Instruct and manage external legal advisers for specialist or complex matters.
- Support the Company Secretary function through ASIC filings, statutory compliance and governance administration.
- Assist with AGM documentation, corporate registers and governance policies.
- Develop legal playbooks and internal guidance materials to support business teams.
- Identify opportunities to use legal technology and AI tools to improve efficiency and streamline legal workflows.
You are a commercially minded lawyer who enjoys partnering with business leaders and providing clear, pragmatic legal advice.
You will bring:
- Bachelor of Laws and a current Australian practising certificate
- Approximately 8+years post admission experience
- Strong experience in commercial contracts, regulatory compliance and legal advisory
- The ability to work autonomously and manage competing priorities
- Experience managing external legal advisers
- Experience in franchising, travel, tourism, e-commerce or multi-site environments will be viewed favourably but is not essential.
